Terms of Service

The terms and conditions governing your use of our website and services.

1. Agreement to Terms

By accessing or using the website at dxmedia.io or engaging DesignX Media ("we," "our," or "us") for any services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

DesignX Media provides digital marketing services including but not limited to website design and development, social media management, AI solutions, marketing consulting, SEO, and website management. Specific deliverables, timelines, and fees for each engagement are outlined in a separate proposal or service agreement provided to the client prior to project commencement.

3. Client Responsibilities

To ensure timely and quality delivery of services, clients agree to:

  • Provide accurate, complete, and timely information, content, and feedback
  • Designate a primary point of contact for communications
  • Review and approve deliverables within the timeframes specified in the project agreement
  • Make payments according to the agreed payment schedule

4. Payment Terms

Payment terms are outlined in each project proposal or service agreement. General terms include:

  • A deposit (typically 50%) is due before project work begins
  • Remaining balances are due upon project completion or as outlined in the agreement
  • Monthly retainer fees are due on the 1st of each month
  • Late payments may incur a 1.5% monthly interest charge on outstanding balances
  • Projects may be paused or terminated for non-payment after 14 days past due

5. Revisions & Scope Changes

Each project proposal includes a defined number of revision rounds. Requests beyond the agreed scope may result in additional charges, which will be communicated and approved by the client before work proceeds. Significant scope changes may require a revised proposal.

6. Intellectual Property

Upon receipt of full payment, the client receives full ownership of the final deliverables (e.g., website design, custom graphics) created specifically for them. DesignX Media retains the right to:

  • Display the work in our portfolio and marketing materials
  • Retain ownership of any proprietary tools, templates, or processes used in delivering the work
  • Retain ownership of third-party licensed assets (fonts, stock photos, plugins) - these are licensed to the client, not transferred

7. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the engagement. This obligation survives termination of the service agreement.

8. Cancellation & Termination

  • Monthly retainers: Either party may cancel with 30 days written notice. Fees already paid are non-refundable; outstanding work within the notice period will be completed.
  • Project work: If a client cancels a project, the deposit is non-refundable. Work completed to date will be invoiced at an hourly rate; remaining deposits may be applied.
  • DesignX Media-initiated termination: We reserve the right to terminate an engagement for non-payment, abusive conduct, or requests to produce illegal or unethical content. In such cases, a prorated refund may be issued at our discretion.

9. Warranties & Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no guarantee of specific results (e.g., search rankings, revenue increases, follower growth), as outcomes depend on many factors outside our control.

Our website and services are provided "as is" without warranty of any kind, express or implied, to the fullest extent permitted by law.

10. Limitation of Liability

To the fullest extent permitted by applicable law, DesignX Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, even if we have been advised of the possibility of such damages. Our total liability for any claim shall not exceed the total fees paid by the client in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless DesignX Media, its employees, contractors, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your content, or your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in York County, Pennsylvania.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
